CAM advises Adani Ports and Special Economic Zone Limited ("APSEZ"), in acquisition of 95% stake of Gopalpur Ports Limited ("GPL") from the existing shareholders.

March 28, Mumbai/Ahmedabad: Cyril Amarchand Mangaldas (“CAM”) advises Adani Ports and Special Economic Zone Limited ("APSEZ"), in acquisition of 95% stake of Gopalpur Ports Limited ("GPL") from the existing shareholders i.e. 56% from SP Port Maintenance Private Limited ("SPPM") and 39% from Orissa Stevedores Limited ("OSL"). The investment is in line with APSEZ’s strategy of East Coast to West Coast parity.

CAM team played a pivotal role in advising Adani Ports and Special Economic Zone Limited “APSEZ" on conducting due diligence on Gopalpur Ports Limited "GPL" , identifying associated risks, and proposing mitigation strategies. We provided strategic inputs to Adani Ports and Special Economic Zone Limited “APSEZ" regarding the transaction, including structuring advice.

Additionally, we were involved in drafting, negotiating, and finalizing transaction documents. Our focus was on negotiating rights and obligations to safeguard “APSEZ" interest in light of their proposed investment in “GPL”. The transaction is subject to approval from to approval from Commerce and Transport Department, the Government of Odisha ("GOO”) and fulfilment of other conditions precedent.
